MIXING SERVICES AGREEMENT

These Terms of Service (“Terms”) govern your use of mixing services (“Services”) provided by KfirMix (“we,” “us,” or “our”). By engaging our Services, you (“Client” or “you”) agree to be bound by these Terms.

1. SERVICES PROVIDED

We provide professional audio mixing services including but not limited to:

  • Phase alignment
  • Rhythm edits and corrections (for added cost)
  • Vocal pitch correction (for added cost)
  • Track gain staging and balancing
  • EQ, compression, and effects processing
  • Stereo imaging
  • Mastering preparation

Deliverables: Final mixed audio files in the format(s) specified in your project agreement (typically WAV)

2. CLIENT RESPONSIBILITIES

You agree to:

  • Provide Quality Source Material: Submit audio stems/tracks that are properly recorded, edited, and organized. We are not responsible for fixing poor recordings or editing performances unless explicitly agreed upon.
  • File Specifications: Submit files in WAV, 24-bit, 44.1kHz or higher. Label all files clearly with descriptive names.
  • Reference Materials: Provide reference tracks or detailed notes describing your desired sound when applicable.
  • Timely Communication: Respond to questions, revision requests, and approval requests within a reasonable time frame (typically 24-48 hours).
  • Legal Ownership: Confirm that you own or have obtained all necessary rights, licenses, and permissions for all materials submitted, including performances, samples, and compositions.

3. PROJECT WORKFLOW

  1. Consultation: Initial discussion of project scope, timeline, and requirements.
  2. Payment: 50% deposit upfront, 50% upon completion.
  3. Production: Mixing work begins after deposit and files are received.
  4. Review: You receive a link to a full preview version via Filepass.
  5. Revisions: Up to 2 rounds of revisions are included with each mix.
  6. Final Delivery: Final payment to be made via Filepass, whereupon you will download your final file, ready for mastering.

4. PAYMENT TERMS

  • Rates: Project fees are quoted individually based on scope, track count, and complexity.
  • Deposits: A non-refundable deposit of 50% is required before work begins.
  • Balance: Remaining balance is due before final files are delivered.
  • Payment Methods: We accept PayPal.
  • Late Payments: Projects may be paused if payment is not received per agreed terms.

5. REVISIONS POLICY

  • Included Revisions: 2 rounds of revisions are included in the quoted price.
  • Revision Scope: Revisions cover mix adjustments (levels, EQ, effects). They do not include new recordings, complete re-mixes from scratch, or major structural changes unless caused by our error.
  • Additional Revisions: Extra revision rounds beyond the included amount are billed at $35.00 per round.
  • Revision Requests: Are managed through the timestamp comment feature provided by Filepass.

6. TURNAROUND TIME

  • Standard Delivery: 3-5 business days (longer for larger projects) from receipt of deposit and all necessary files.
  • Rush Service: Available for an additional fee of depending on project size. Rush projects are prioritized and typically delivered within 24-48 hours.
  • Delays: Turnaround may be extended if client files are delayed, incomplete, or if we are awaiting feedback/approval.

7. COPYRIGHT & OWNERSHIP

  • Your Content: You retain all rights to your original compositions, lyrics, and recordings.
  • Our Work: Upon full payment, you receive a license to use the final mixed recordings for any purpose. We retain the right to use anonymized audio excerpts for portfolio, promotional, or educational purposes unless you request a confidentiality arrangement (see Section 9).
  • Credit: We appreciate attribution where appropriate (e.g., “Mixed by [Your Name]” in liner notes or metadata), though this is not mandatory unless contractually specified.

8. CONFIDENTIALITY

We respect your privacy and creative process. All project files, communications, and unreleased material are kept confidential. We will not share, distribute, or publicly discuss your project without your explicit permission, except as necessary to complete the work or as required by law.

9. LIMITATIONS & DISCLAIMERS

  • No Guarantees: While we strive for excellence, we cannot guarantee specific chart performance, streaming numbers, or commercial success.
  • Source Material Quality: The final mix quality is dependent on the quality of the source files provided. We are not liable for issues stemming from poor recordings.
  • Technical Issues: We are not responsible for data loss due to technical failures, though we maintain backups of project files for 1 year.
  • Liability Cap: Our total liability shall not exceed the amount paid for the specific project in question.

10. CANCELLATIONS & REFUNDS

  • By Client: If you cancel after work has begun but before completion, the deposit is retained to cover work completed. Partial refunds of the balance may be issued at our discretion based on work performed.
  • By Us: We reserve the right to terminate a project and refund payments (minus work completed) if we determine the project is not a good fit, if terms are violated, or if working together becomes untenable.
  • No Refunds: Once final files are delivered and payment is complete, no refunds are issued.

11. DISPUTE RESOLUTION

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be mediated in the State of Israel under the laws of said State. Each party bears their own legal costs unless otherwise awarded.

12. MODIFICATIONS

We may update these Terms periodically. Changes will be posted on our website with an updated effective date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
